1. Introduction
These Terms & Conditions (“Terms”) govern your use of services provided by BASICLLY LTD (“Company,” “we,” “our,” “us”), a UK Limited Company (Registration Number 12073403). By creating an account or using our services, you agree to comply with these Terms in full. If you do not agree, you must not use our services.
2. Eligibility & USA-Only Restriction
- U.S. Residents Only: Our services are available only to individuals located in the United States.
- Age Requirement: You must be at least 18 years old (or the age of majority in your state) to create an account.
- Account Removal: We reserve the right to delete accounts that violate the above restrictions or other Terms herein.
3. Account Responsibilities
- Account Security: You are responsible for safeguarding your password and for any activities under your account.
- Credential Sharing: Sharing or distributing your login credentials is strictly prohibited.
- Unauthorized Use: We are not liable for any unauthorized access resulting from misuse or insufficient password protection.
4. Subscription, 72-Hour Trial, & Cancellation Policy
- Subscription Model: We provide a recurring, 14-day subscription priced at $10 USD, which automatically renews every 14 days unless canceled.

72-Hour Trial Window:
- Risk-Free Period: From the moment your subscription is activated, you have 72 hours (3 days) to try our AI-powered services risk-free.
- Full Refund Eligibility: If, for any reason, you decide our service isn’t for you within the first 72 hours, simply request a full refund via email at [email protected] or through your account dashboard. After 72 hours have passed, no refunds will be granted, due to the digital nature of our service.
- Abuse Clause: In the rare event of suspicious or excessively high usage during the trial period, we reserve the right to decline a refund to prevent abuse of our services. This is solely to maintain a fair trial experience for all users.

How to Cancel: You may cancel your subscription at any time by:
- Logging into your account and selecting “Cancel Subscription” in your account settings, or
- Contacting support at [email protected].
- Cancellation Timing: Cancellations must be made at least 24 hours before the next billing cycle to avoid renewal charges.
- No Prorated Refunds (Post-Trial): No prorated refunds are provided once the 72-hour trial has lapsed, except as mandated by law.
- Payment Processing: All payments are handled by Stripe. We do not store your payment data.
5. No-Refund Policy After Trial & Refund Exceptions
- No Refund After 72 Hours: Once the 72-hour trial window expires, no refunds are issued. This includes scenarios where you have used our AI service extensively.

Refund Requests Within Trial:
- Must be submitted to [email protected] or through your account dashboard.
- We may verify account usage to ensure the trial hasn’t been abused.
- Digital & Non-Refundable: Due to the nature of digital products, any usage beyond the trial may render the subscription non-refundable, at our sole discretion.
- Prepaid Credits: Any prepaid AI credits or usage packages are non-refundable once the 72-hour trial has ended, unless otherwise required by law.
6. Chargeback Policy
- Contact Us First: If you experience any billing or quality issues, please contact [email protected] before considering a chargeback.

Violation of Terms: Filing a chargeback after the 72-hour trial period—or if you have already used our service and not requested a refund during the trial—is considered a breach of these Terms. In such cases:
- We may present evidence (e.g., logs, subscription history) to dispute the chargeback.
- Your account may be permanently banned from future use of our services.
- Digital & Non-Refundable: Because our AI-generated outputs constitute digital services, a chargeback filed outside the trial period is deemed unwarranted.
7. Prohibited Activities
You may not:
- Use our service for unlawful or fraudulent activities.
- Reverse-engineer, decompile, or tamper with any part of our platform.
- Create multiple accounts for abusive or deceptive practices.
- Engage in excessive automated usage (e.g., bots or scrapers) that could disrupt the service.
- Violate any U.S. law or regulation in using our services.
We reserve the right to suspend or terminate your account for any suspicious or prohibited activity.
8. Service Availability & Disclaimer of Warranties
- Service Availability: We strive to maintain consistent, reliable service but cannot guarantee uninterrupted or error-free operation. Features may be updated, suspended, or discontinued at our sole discretion.
- Disclaimer: Our service is provided “as is” and “as available,” without warranties of any kind, including merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
- Indirect Damages: We are not liable for indirect, incidental, or consequential damages stemming from your use or inability to use our services.
- Maximum Liability: Where local laws do not allow the exclusion of certain warranties or limit liability, our liability is limited to the fullest extent permitted by law.
10. Intellectual Property
- Ownership: All content, features, and trademarks related to our services are owned or licensed by BASICLLY LTD.
- Restrictions: You may not reproduce, distribute, modify, or create derivative works of our content without explicit written permission.
11. Governing Law & Dispute Resolution
- UK & U.S. Law: BASICLLY LTD is a UK Limited Company providing services exclusively to U.S. consumers. These Terms are governed by the laws of England and Wales, except where U.S. consumer protection laws apply.
- Consumer Protection Precedence: If a conflict exists between the laws of England and Wales and U.S. consumer protection laws, U.S. law takes precedence regarding consumer protection issues.
- Business Disputes: Any business-related disputes (not consumer disputes) shall be resolved exclusively in the courts of England and Wales.
12. Arbitration Agreement
- Binding Arbitration: In the event of any dispute, claim, or controversy arising out of or relating to these Terms—including chargeback or billing disputes—the matter shall be resolved through binding arbitration rather than in court.
- Location & Rules: Arbitration shall be conducted by a neutral arbitrator in the United States, following U.S. arbitration laws.
- Costs: Each party bears their own costs of arbitration, unless otherwise required by law or the arbitrator’s ruling.
- Consumer Rights: This does not waive any U.S. consumer protection rights where such rights are mandated by law and not subject to preemption.
13. Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that harms our interests or those of other users.
14. Amendments & Updates
We may update or modify these Terms at our discretion. If changes are significant, we will notify you by email or by posting a notice on our website. Your continued use of the services indicates your acceptance of the updated Terms.
